Terms of Service

1. Acceptance of Terms

By accessing the Karbodh Admin Portal or deploying our compliance nodes, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you are prohibited from utilizing the Karbodh suite. These terms establish a legal agreement between your organization and Karbodh.

2. Software License Grant

Subject to your compliance with these Terms, Karbodh grants you a limited, non-exclusive, non-transferable, and revocable license to:

• Deploy Karbodh extraction and compliance nodes on your registered local hardware.
• Access the Karbodh Admin Portal to manage user licenses and node authentication.
• Process internal organizational and client data exclusively for your business operations.

3. Zero-Cloud & Local Execution Enforcement

Karbodh is strictly an on-premise, zero-cloud software solution. You are strictly prohibited from modifying the software to transmit sensitive client data, documents, or financial records processed by Karbodh AI to any external cloud APIs or third-party servers. Any attempt to bypass the local silicon execution lock is a material breach of these terms and will result in immediate license termination.

4. Restrictions on Use

While operating Karbodh, you explicitly agree that you will not:

• Reverse engineer, decompile, or attempt to extract the source code of the Karbodh AI models or the License Server.
• Rent, lease, lend, sell, or sublicense the software to third-party organizations not covered under your subscription.
• Use the software to process illicit materials or violate any applicable financial compliance laws.
• Circumvent or disable any security features or licensing checks embedded in the application.

5. Subscriptions and Billing

Karbodh operates on a subscription model based on the number of active nodes and features. By subscribing, you authorize us to charge the applicable subscription fees to your chosen payment method. Subscriptions automatically renew unless canceled at least 15 days before the end of the current billing cycle.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Karbodh shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of your deployment of the software. Because Karbodh executes locally, you are entirely responsible for the security, backup, and physical integrity of the hardware on which Karbodh resides.

7. Termination

We reserve the right to suspend or terminate your license and access to the Admin Portal immediately, without prior notice or liability, if you breach any of these Terms. Upon termination, your right to use the Karbodh suite will cease immediately, and your on-premise nodes will be cryptographically locked.
